Mr. Maxwell represented and counseled a large number and range of healthcare practitioners (physicians, dentists, chiropractors, psychologists, podiatrists, physical therapists).   Katherine Steiner is a partner in the corporate law department of Kurzman Eisenberg Corbin & Lever, LLP. Ms. Steiner' s practice is concentrated in the areas of corporate law, mergers and acquisitions, bank financing (for both lenders and borrowers), secured financing transactions, employment law, Art Lawand licensing. Her work in mergers and acquisitions includes representation of both acquirers and sellers in asset, stock and merger transactions, including public company acquisitions and private transactions. Ms. Steiner has extensive experience in general corporate matters, including secured and unsecured financing, public and private securities offerings, the organization and dissolution of business entities, licensing, employment contracts, shareholder and operating agreements and other shareholder matters. • Real Estate Litigation
  Mr. Goldman is a partner in the real estate department of Kurzman Eisenberg Corbin & Lever, LLP. Mr. Goldman's practice covers all facets of the cooperative/condominium conversion ownership process, including representing cooperative and condominium boards of directors (managers), and developers and sponsors of condominium/cooperative offering plans in the creation and offering for sale of ownership interest in such projects. Mr. Goldman serves as counsel to numerous cooperative boards of directors and condominium boards of managers of both residential and commercial properties. As part of his practice in this area, Mr. Goldman has appeared regularly before the New York State Office of the Attorney General. In addition to advising cooperative corporations and condominium associations on their day to day issues and transactions, Mr. Goldman also has been active in the acquisition, development, construction, financing and sales phases of many real estate projects in the New York City metropolitan area. Having practiced in this area of real estate law for more than forty years, Mr. Goldman regularly handles issues like construction deficiencies, sponsor defaults and lender workouts, all of which have become too common in the present economic environment.
• Construction Litigation
  A successful commercial leasing practice involves all facets of a transaction, beginning with the letter of intent. Our attorneys have the experience to handle negotiating, among other things, letters of intent, brokerage agreements, property management agreements, early access letters, construction contracts and leases from both the landlord and tenant perspective. Our lending experience makes us expert in leasehold financing provisions, as well as lender requirements for office leases. Our practice is national in scope and includes all types of shopping center leasing, office leasing and warehouse and industrial transactions, including, without limitation, ground lease and sale/leaseback transactions, where we have represented the tenants and landlords.

  Spearheaded by five widely recognized partners, all having worked on sophisticated commercial real estate matters in New York City for international and large New York City law firms, our 14 person real estate group has an extremely wide range of experience in all aspects of commercial real estate transactions. • Land Use and Zoning
  Our development practice includes new projects and redevelopment of mixed-use, residential, retail and warehouse properties, including with an emphasis on redevelopment of historic properties in New York City, which has included assemblages and landmark preservation issues. With our network of professionals we are able to navigate all of the complex issues which arise in development deals, from environmental matters, land use and zoning (assemblage), to incentives and historic preservation approvals. With our knowledge of title matters our team can assess and evaluate the risks inherent in easements, zoning lot merger agreement and other encumbrances often affecting New York City or other complex projects. We work closely with our clients to create a team of architects, engineers and other professionals to ensure that the client's goals are reached in the most cost efficient manner. We have substantial expertise with respect to easements and other sharing agreements, construction documents, completion and performance guaranties, and the coordination of private and public sector investments/loans.
• Landlord-Tenant Disputes
  Mr. Berg is a partner in the real estate department of Kurzman Eisenberg Corbin & Lever, LLP. Mr. Berg's practice focuses on transactional real estate work including the acquisition, leasing, development, financing of commercial and multifamily housing, construction contracts and loan portfolio acquisitions, as well as the representation of numerous cooperative apartment corporations and condominium associations throughout the Metropolitan area. In the past three years Mr. Berg has been the lead counsel on approximately twenty five (25) transactions for the purchase of blocks of “unsold” cooperative and condominium units occupied by rent regulated tenants from existing sponsor entities and involving nearly 1,500 units in total. In addition, Mr. Berg has substantial experience in all aspects of real estate litigation, including complex commercial landlord-tenant disputes, commercial mortgage foreclosure actions, land valuations, mechanic lien litigation and construction related disputes.

  Our real estate professionals have the experience to draft and negotiate all types of purchase and sale agreements, options, letters of intent and broker agreements. We frequently assist our clients in coordinating due diligence reviews, lease analysis and title and survey review and facilitate the efforts of all consultants involved from accountants, engineers and architects to ensure that there is no duplication of effort and our clients are represented in the most cost efficient manner. • Foreclosure
  Stuart Berg successfully represented the lenders in two recent commercial foreclosure actions in Queens and Nassau Counties. The lenders obtained Court-appointed receivers to operate the properties, a 70-unit apartment building with 10 stores in Queens County and an 8-unit strip mall shopping center in Nassau County. In both actions, the lenders were the successful bidders at the foreclosure sales.
• Tax Law
  The real estate group, along with its team of corporate attorneys, has the experience to handle complex joint venture other entity transactions involving both domestic and international investors. Recently, in connection with the acquisition of a landmarked warehouse in lower Manhattan, we represented our client in negotiating all of the joint venture documents necessary to partner with foreign investors. This matter involved careful consideration of tax issues and complicated limited partnership operating documents.
