He thus helps choose the most appropriate entity, including LLCs and S corporations, and drafts the governing documents, including partnership agreements, shareholder agreements and operating agreements. He also prepares form and custom contracts and other documents for use by businesses in their daily operations. As his client’s businesses grow, in addition to succession planning, they may go through mergers or acquisitions; he helps his clients understand the ramifications and works to structure the transaction appropriately.

  Business entities include corporations (including s-corporations), limited liability companies (LLCs) and partnerships. Often, two people who have known each other for a while decide to go into business together and form one of these entities on their own. When they do so, they often have only a rudimentary (and often oral) deal as to how the business will operate.

  Our practice concentrates on litigation, including asbestos litigation, workers compensation, Social Security disability and personal injury. Additionally, we help many clients successfully navigate business transactions and business issues, and regularly handle various commercial and residential real estate matters, including property tax assessment appeals.

  In addition, he is regularly involved with both commercial and residential real estate transactions. He assists clients with the purchase, sale and leasing of commercial real estate. He also counsels both purchasers and sellers of homes, including homes in planned communities and condominium associations. He has represented several homeowners' associations, and works with developers during all phases from planning to construction to sale. He litigates real estate related cases, including disclosure issues associated with the sale of homes, tax assessment appeals and construction issues.

  Although the firm focuses on litigation, we have the knowledge and experience to assist our clients in other ways and areas. We regularly help disabled individuals obtain the Social Security disability benefits and Supplemental Security income benefits to which they are entitled.   After graduating from Yale University, he attended Boston University School of Law, after which he was admitted to the Pennsylvania and Massachusetts bars in 1977. He was additionally admitted to the Florida bar in 2002. In 1981, he received his LL.M. in Taxation from Temple University School of Law. He was admitted to practice before the U.S. Tax Court in 1978, the United States Court of Appeals for the Third Circuit in 1991, and the United States Supreme Court in 1995. Mr. Mardinly was an Adjunct Assistant Professor teaching tax law at Widener University from 1981-1984. He was the President of the Delaware County Attorney/CPA Forum from 1989-1991. He has been a member of the Media Rotary Club Member since 1981, serving as President in 1997-1998, and as the Secretary of Rotary District 7450 from 1998-1999 and from 2000-2001. He also served as a member of the Board of Managers of Rocky Run YMCA for more than 10 years, including as Vice Chairman, and served as the Chairman of the Building Committee starting in 1998.
