  Member of the Board of Directors of Charter One Financial, Inc., a publicly owned holding company (NYSE) of Charter One Bank, N.A. from October 31, 1995 to September 1, 2004. Charter One Bank, headquartered in Cleveland, Ohio, was among the 25 largest banks in the country, with approximately $44 billion in total assets. Additionally, served as Chairman of the Audit Committee of the Board and was a member of the Corporate Governance/Nominating and Policy Committees of the Board.

  Practice consisted primarily of corporate and securities work, including: advising public and private corporations on business matters, acquisitions and mergers; federal securities; public offerings; tax and employee benefits; financing and banking transactions; commercial transactions; contracts; real estate and real estate acquisition and financing transactions; business litigation matters; and general corporate and business issues. During this time served as outside general counsel to four companies (and their Boards of Directors and applicable Board Committees) listed on the New York Stock Exchange – Pulte Home Corporation, Handleman Company, Core Industries Inc and Cunningham Drug Stores, Inc. – and as Chairman of the Corporate and Securities Department of the law firm and Chairman of other administrative committees.
